Commercial Terms & Retainer Agreement
1. The Agreement
These terms govern all commercial advertising, native promotions, and monthly retainers entered into between The BPL Group (“we”, “our”, or “the Publisher”) and the booking business or organization (“the Partner” or “the Client”). Confirmation of an order by email, written invoice acceptance, or initial payment constitutes binding acceptance of these terms.
2. Payment & Billing Cycles
All commercial spaces and retainers are billed in advance to maintain campaign scheduling:
- Advance Payment: All monthly retainers (Civic Sponsor, Network Dominator, and Hospitality Partner) must be paid prior to the scheduled campaign start date or on the 1st of each calendar month.
- Recurring Settlement: Billing operates on an automatic 30-day recurring basis via recurring direct debit mandate or agreed automated bank schedule.
- Late Payments: If payment is not cleared within 7 business days of the invoice due date, distribution is paused immediately and any reserved category lockout will be released back to the open market.
3. Category Exclusivity Rules
For retainers including single-sector lockouts (such as the Civic Sponsor tier):
- Exclusivity applies strictly to the primary commercial service agreed upon booking (e.g., one conveyancing law firm, one motor dealer group, or one funeral director).
- Exclusivity remains active continuously as long as the monthly retainer is paid and current.
- Exclusivity covers our digital web assets and direct publisher-curated feed slots. It does not apply to programmatic network backfill ads delivered dynamically via third-party ad networks outside direct editorial control.
4. Editorial Firewall & Independence
A commercial sponsorship agreement does not purchase editorial immunity, news censorship, or editorial control of our journalism.
The BPL Group is an accredited independent news organization. In the event that a sponsor, its directors, or its subsidiaries become the subject of legitimate public interest, court reporting, or regulatory action, our editorial desk will cover the facts neutrally and impartially under standard UK journalism standards without interference from our commercial operations.
5. Asset Provision & Turnaround
To ensure campaigns launch smoothly:
- The Partner must supply high-resolution logos, brand guidelines, and target tracking URLs at least 3 business days prior to scheduled release.
- Native feature posts and photo spotlights will be written and framed by our team to maximize Facebook and web algorithm dwell times. The Partner will receive copy for factual verification prior to publishing.
- Delays caused by the Partner failing to supply materials or sign off copy do not entitle the Partner to invoice credits, pauses, or refunds for elapsed calendar time.
6. Cancellation & Notice Periods
All retainers operate on a rolling 30-day commitment:
- Either party may terminate the monthly retainer by providing written notice via email to partners@thebplgroup.uk at least 30 calendar days prior to the next billing cycle.
- If written notice is received mid-cycle, the current month’s coverage will complete in full, and no further invoices will be generated following the expiration of the 30-day notice window.
- Once terminated, any exclusive category locks held by the Partner will be made available to other businesses immediately upon contract expiry.
7. Compliance & Standards
All commercial copy, images, and links submitted by the Partner must comply with UK Advertising Standards Authority (ASA) codes and must not be misleading, fraudulent, or defamatory. We reserve the absolute right to reject or suspend any campaign that breaches UK legal guidelines or infringes third-party copyright.
